An arsenal of highly valuable information
This book is should be on the desk of every serious early stage founder.. I'm about 70% of the way done with a cover-to-cover binge of this excellent text. It really should be required reading at every top business school. I worked for a number of years in private equity before founding my company. Having seen a dozen+ deals get delayed/derailed in diligence, I want ensure that my operation is a tight ship from a legal and regulatory standpoint with a laser-precise data room that streamlines funding and deal processes. Thank you Paul Swegel for creating this HIGHLY VALUABLE master-class!

Extremely Insightful, Practical & Easy to Read
This was an extremely helpful resource navigating the complex US securities legal system. The author broke down the complex rules in easy to digest format, with the added value of experience and tips. Very happy to have found this book!

A truly excellent book with a practical bent. Access to the data room it comes with is also very useful.

Incredible Wealth of Knowledge and Experience
Knowledge and experience are not the same thing. Knowledge can be shared, experience must be lived. Paul Swegle's book is filled with his knowledge and experience, both of which are extensive. In addition to the book, purchasers can request access to a comprehensive Data Room filled with example forms, contracts, and spreadsheets.Possible use cases that justify reading this book: you want to know more about your employment contracts or stock options contracts; you want to start a company; you want to join a company - any company; you're considering investing in a pre-IPO (and/or pre-merger) company. Now, this book is primarily targeted to "entrepreneurs and startup advisors", but the content is so thorough that you can read the book from a variety of perspectives and still gain deep insight into how your interaction with a company is structured. Laws and contracts drive the outcomes and incentives in nearly everything in life, and this book does a great job of showing the actual function of law and contracts in pre-IPO (pre-merger) companies.Limitations:- There are, understandably, probably dozens of better books out there for learning about later-stage companies.- The math and quantitative aspects of the book are relatively light (a + for some readers, a - for me)- The Data Room files cannot be downloaded locally. Since I like to highlight my PDF's, it would be nice to have a subset of the files (or all of them, if possible) be downloadable.I've recommended this book to several colleagues as they start companies. The main reasons I've recommended this book are the following main chapters:2. Overview of Legal and Regulatory Mistakes.6. Entity Selection (when to choose LLC vs. C Corp etc.)9. Intellectual Property12. Startup Finance Overview... but there are many other sections with great insight and engaging/relevant case studies.

A very readable resource for beginners and for experienced practitioners
This is a great resource for anyone interested in business, finance, law, or anyone who just wants to get up to speed on terminology thrown around casually on shows like Silicon Valley.I am a practicing lawyer that does business formations, and I love this book, because it is full of real life anecdotes and examples of common situations- and they are written in a way that a student or one my my clients could understand. The examples are also modern and involve companies we know about.The book has a very wide breadth, and I wish the ToC was available to preview because it would show that it is not necessarily the type of book you read front to back. I view it as an issue-spotting resource manual for many different areas involved in launching a new company. The book is entitled "startup law and fundraising" but there is just a lot of good information in here that is generally applicable to business formation and operations. End to end startup guidance around proper management and fundraising
As the CEO of a small startup firm, I find the topics in this book to be uniquely comprehensive and on target for key issues which arise during the formation, launch and fundraising phases of a start up company. The author offers key insights into classic problems in these areas and meaningful and workable mitigations to avoid these business and finance issues. I recommend this book highly for anyone involved in advisorship, management, finance or legal affairs for a startup business.I found this book to be very accurate, and the topics are readily accessible. It is written in a very readable format, which I would have not thought possible given the rather complex topics. This book would be helpful to not only attorneys such as myself who can use a reference guide, but also for new business owners who have a great idea for a company and need some help with how to move forward. I recommend this book highly.

Comprehensive and Practical Resource for Startups and Lawyers
This is an excellent, comprehensive resource for attorneys and startups. Lays out all of the major mistakes to avoid and provides practice guidance throughout the entire "life cycle" of a venture. Written in plain English and enjoyable to read. Offers numerous case studies of real-world examples througout the book that are entertaining to read and helpful to better understanding the issue being discussed. Lucky to have found this book.

Who reads a textbook cover to cover?
Apparently, I read textbooks cover to cover. Well written, easy to read. This text is incredible. I have been a ceo for years, and this book taught me an incredible amount. Must have for anyone who is a business owner, executive, or works in the legal sector involving business.
